Key policies and guidelines for using our website effectively and safely.
Welcome to LumberFlow! These Terms of Service (“Terms”) form a binding legal agreement between you or the entity you represent (“Customer,” “you”) and LumberFlow LLC (“LumberFlow,” “we,” “us”). These Terms govern your access to and use of the LumberFlow Co-Pilot software, AI-driven tools, analytics features, communications automations, and all related websites, features, and services (collectively, the “Service”).
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
LumberFlow provides an AI-powered procurement and workflow system designed to help purchasing agents streamline and manage lumber sourcing activities. The Service uses artificial intelligence, machine learning models, email integrations, and automated document parsing to extract and display data from communications and uploaded content.
You acknowledge and agree that:
The Service may produce inaccurate, incomplete, delayed, or misleading information (“Output”). AI models may hallucinate or misinterpret content. Output may not reflect real-time market data, pricing trends, or verified supplier information.
You are solely responsible for independently reviewing, verifying, and validating any Output before taking action, including:
purchase decisions
pricing negotiations
supplier selection or rejection
risk assessments
inventory planning
financial projections
Output is not financial, legal, procurement, compliance, or business advice. The Service is a tool intended to augment your own professional judgment.
LumberFlow is not responsible for any decisions you make or fail to make based on:
pricing comparisons or AI-generated pricing predictions
news summaries or market analysis
RFQ insights, messaging insights, or supplier/buyer behavior analysis
disputes between suppliers and buyers
miscommunication, errors, or delays in email or RFQ routing
All risks associated with reliance on the Service are assumed solely by you.
To operate the Service, LumberFlow may provide or integrate with shared mailbox addresses such as rfq@lumberflow.com, which route your RFQs, quotes, negotiations, and communications for processing.
LumberFlow will have access to communications, RFQs, supplier interactions, buyer interactions, quote details, and purchase history processed through such shared email addresses.
This data may be stored, indexed, and used to operate and improve the Service.
We may run analytics, trend analysis, workflow optimization, data extraction, and benchmarking on your data, including both manual and automated analysis.
All such access and use will comply with our Privacy Policy and applicable law.
You must ensure you have obtained all necessary permissions from your internal users, suppliers, customers, and contacts to allow such data processing.
You retain ownership of all data, documents, emails, RFQs, communications, and other content you provide or route through the Service (“Customer Data”).
You grant LumberFlow a worldwide, royalty-free, sublicensable license to:
host, store, process, parse, modify, analyze, and display Customer Data
use Customer Data to provide, maintain, secure, and improve the Service
develop and refine AI models, algorithms, and workflow automations
This license survives for as long as necessary for us to operate the Service or comply with legal obligations.
LumberFlow may de-identify, aggregate, and analyze Customer Data to develop statistics, analytics, benchmarks, performance metrics, or insights.
De-identified or aggregated data:
will not identify you or your organization,
may be used to improve our products and algorithms, and
may be shared publicly or with third parties in anonymized form.
You grant us all rights necessary to perform such processing.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription.
You agree not to:
reverse engineer, copy, or create derivative works of the Service
use the Service in violation of any law or regulation
resell, sublicense, lease, or provide the Service to third parties
use the Service to analyze or access data you do not have legal rights to process
We may suspend or terminate your access for violations of these Terms.
LumberFlow is not a party to any transaction, negotiation, dispute, or communication between you and any supplier, buyer, broker, or third party.
We do not vet, endorse, or guarantee any supplier or buyer.
We are not responsible for quote accuracy, delivery, quality, payment, or contract performance.
We are not liable for any disputes between you and third parties, including disagreement over pricing, quantity, availability, product quality, or shipment details.
All third-party interactions are strictly between you and those parties.
Both parties agree to protect the other's non-public information with the same care used to protect their own. Exceptions include disclosures:
required to provide the Service
made to service providers bound by confidentiality obligations
required by law or court order
LumberFlow owns all intellectual property in the Service. You grant us a perpetual, irrevocable, worldwide license to use any Feedback for any purpose, without compensation.
Subscriptions are billed in advance on a recurring basis (monthly or annually).
Your subscription auto-renews unless canceled before the renewal date.
Fees are non-refundable except where required by law.
We may modify pricing with at least 30 days’ notice.
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LUMBERFLOW DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
the Service will be accurate, reliable, or error-free
AI Output will be correct or suitable for your intended use
email integrations or shared inbox systems will operate without interruption
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
LumberFlow shall not be liable for any:
lost profits, revenues, or opportunities
business interruption
loss of goodwill
data loss or corruption
indirect, incidental, special, punitive, or consequential damages
We are not liable for damages arising from:
reliance on AI-generated pricing, forecasts, or insights
inaccurate comparisons or analytics
disputes between suppliers and buyers
any actions taken based on Output
Our total aggregate liability under these Terms will not exceed the amount paid by you for the Service in the 12 months preceding the claim.
These Terms are governed by the laws of the State of Washington, without regard to conflict of law rules. Any disputes must be brought in the state or federal courts located in King County, Washington.
We may update these Terms periodically. If we make material changes, we will provide notice by email or through the Service. Continued use after the effective date constitutes acceptance of the updated Terms.
